These Terms of Service ("Terms") are a contract between you and ObraDesk ("ObraDesk," "we," "us"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
1. What ObraDesk is
ObraDesk is software that helps you create invoices and estimates, manage customers, accept payments through third-party providers, and related tasks. We provide tools. We are not a law firm, accountant, tax advisor, or payment processor, and nothing in the service is legal, tax, or financial advice. Content generated by our AI features (for example, improved wording or translations) is a draft you are responsible for reviewing before you send it.
2. Eligibility and your account
You must be at least 18 and able to form a binding contract. You are responsible for your account, your login credentials, and all activity under your account. Keep your delete PIN and passwords confidential.
3. Subscriptions, billing, and renewal
Paid plans are billed in advance on a recurring basis (monthly, every three months, or annually) through our payment processor, Stripe. Your subscription renews automatically at the end of each billing period until you cancel. You authorize us to charge your payment method for each renewal. We may change pricing on a going-forward basis with notice; changes do not affect the period you have already paid for.
4. Cancellation and refunds
You can cancel anytime; cancellation stops future renewals and takes effect at the end of the current paid period. Payments are non-refundable and we do not provide prorated refunds for partial periods, except where required by law. See our Refund & Cancellation Policy.
5. Your customers and their payments
You are solely responsible for the invoices, estimates, prices, work, and customer relationships you create with ObraDesk. Payment buttons (such as Cash App, Venmo, PayPal, or Zelle) are links to third-party services; those payments are made directly between you and your customer through those providers. We do not process, hold, or have visibility into those funds, and we are not responsible for those transactions, refunds, or chargebacks. Disputes about work or payment between you and your customer are between you and your customer.
6. Emails we send on your behalf
When you send an invoice or estimate, we may email it to the customer address you provide. You are responsible for having the right to contact that customer and for the content you create. ObraDesk does not make phone calls, send text messages, or record calls.
7. Your data and customer data
You own the business and customer information you enter. As between you and us, you are the controller of your customers' personal information and are responsible for having a lawful basis to collect and use it. You grant us a limited license to process that data to provide the service. Our handling of data is described in our Privacy Policy.
8. Acceptable use
Do not misuse the service: no illegal activity, fraud, infringement, reverse engineering, scraping, overloading our systems, or using the service to violate anyone's rights. We may suspend or terminate accounts that violate these Terms.
9. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that AI-generated content is accurate or suitable for any purpose.
10. Limitation of liability
To the maximum extent permitted by law, ObraDesk will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim is limited to the amount you paid us for the service in the three months before the event giving rise to the claim.
11. Indemnification
You will defend and indemnify ObraDesk against claims arising from your use of the service, your content, your communications, your customer relationships, or your violation of these Terms or the law.
12. Termination
You may stop using the service at any time. We may suspend or terminate access for violation of these Terms or to comply with law. Sections that by their nature should survive termination will survive.
13. Changes to these Terms
We may update these Terms. If changes are material, we will notify you and may ask you to accept the new version. Continued use after changes take effect means you accept them.
14. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Venue for disputes lies in Texas.
